LIMITED LIABILITY COMPANIES


The LLC Companies or LC Companies (Limited Liability Companies or Limited Companies) have become increasingly popular in the United States as a consequence of the special tax advantaged granted to those companies by the Internal Revenue Services (IRS)

The tax advantages refer basically to the fact that these companies are NOT required to pay taxes in the United States if the companies there are NOT conducting business activities in the United Sates and its shareholders are NON Permanent Resident of the United Sates.

There is generally no requirement to file financial statements with the State of formation unless the company owns assets within that State or has conducted business within that State.

Also these companies are tax exempt of Taxes on Revenues from Sale of Real Estate in the Unite States (FIRPA).

If the LC Company DOES business in the United States it is also exempt of the Corporate Tax and it has to file the Tax Return only for profits distributed the owner(s) of the company.

These tax exemptions had the purpose of attracting international investors and business to the United States and also to equal the treatment of Non Residents and Residents and American Citizens.

Traditionally a Corporation owned by Residents or Citizens did not has to file for Corporate Taxes, only for distribution of profits to the owners.

The LC Company now offers the same treatment to companies owned by Non Residents, but also offers in addition even more tax advantages since it does not tax international transactions outside of the United States if the company is not conducting business in the United States and its shareholders are not Resident in the United Sates.

Tax exemptions to LC Companies are granted by the IRS, however the legislation on company law varies from State to State. That creates differences on Companies LC formed on different States. The LC Companies with more advantages from a tax and company law point of view are Florida LC Companies and Delaware LC Companies.
